Terms of Service

These Terms of Service ("Terms") govern your use of the website aarpo.in and the services provided by Aarpo Global Solutions ("Company", "we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000.

1. Services

Aarpo Global Solutions provides digital marketing, web and app development, AI automation, branding and design, and custom CRM development services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or Proposal agreed upon in writing between both parties.

2. Client Responsibilities

The client agrees to:

• Provide accurate, complete, and timely information, content, and access required for us to deliver the agreed services
• Assign a point of contact who has authority to make decisions and approvals
• Review and provide feedback within agreed timelines to avoid project delays
• Ensure all materials provided to us (logos, images, content, data) are lawfully owned or licensed
• Make payments on time as per the agreed payment schedule

3. Payment Terms

• All fees are quoted in Indian Rupees (INR) unless otherwise stated in the proposal
• A minimum advance payment (as specified in the proposal, typically 50%) is required before project commencement
• Remaining balances are due as per the milestone-based payment schedule in the SOW
• Invoices are payable within 7 business days of issuance
• Late payments beyond 15 days may attract a penalty of 2% per month on the outstanding amount
• All applicable taxes (including GST) will be added to invoices as per Indian tax laws

4. Intellectual Property

• Upon full and final payment, all custom deliverables created exclusively for the client (designs, code, content) become the client's property
• Aarpo Global Solutions retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary systems used in the delivery of services
• We reserve the right to display completed work in our portfolio and marketing materials unless a written non-disclosure agreement (NDA) is in place
• Third-party assets (stock images, fonts, plugins) are subject to their respective licences and must be separately licensed by the client for continued use

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the termination of the agreement for a period of 2 years. Where a separate NDA is executed, its terms shall prevail.

6. Revisions and Change Requests

Each project proposal includes a defined number of revision rounds. Requests beyond the agreed scope will be treated as change requests and billed at our standard hourly rate. All change requests must be submitted in writing and approved by both parties before work commences.

7. Turnaround and Delays

Project timelines are estimated in good faith and depend on timely client input. We are not liable for delays caused by: late client approvals, incomplete briefs, third-party platform outages, or force majeure events. Any extension of timelines due to client delays will be communicated in writing.

8. Termination

• Either party may terminate the agreement with 14 days' written notice
• In the event of termination by the client, fees for work completed up to the termination date are non-refundable
• In the event of material breach by Aarpo Global Solutions, the client may terminate immediately and receive a pro-rata refund for undelivered work
• Retainer agreements may be cancelled with 30 days' written notice

9. Limitation of Liability

To the maximum extent permitted by law, Aarpo Global Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website. Our total liability in any matter shall not exceed the amount paid by the client in the 3 months preceding the claim.

10. Warranties and Disclaimers

We warrant that our services will be delivered with reasonable skill and care. However, we do not guarantee specific business outcomes (e.g., a particular rank on search engines or a specific number of leads) as these depend on many external factors beyond our control.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India.

12. Modifications

We reserve the right to update these Terms at any time. Continued engagement with our services following any update constitutes acceptance of the revised Terms.
